Advise on tax aspects of private equity, hedge fund formations & operations. Conduct legal research and draft memoranda, client alerts, and tax opinions. Support clients in tax controversy matters (IRS audits, appeals, and litigation). Collaborate with attorneys in corporate, finance, real estate, and private client groups on multidisciplinary matters. Analyze and advise on international tax issues, including cross-border transactions, transfer pricing, and FATCA/CRS compliance. Monitor legislative and regulatory tax developments at both domestic and global levels and communicate key changes to internal teams and clients. Qualifications: J.D. from a top-tier law school, and admission to a US state bar (New York) LL.M. in Taxation is strongly preferred but not required 24 years of experience at a major law firm or highly regarded tax boutique. Significant experience in corporate, partnership, and international tax law. Exceptional research, writing, and analytical skills. Strong interpersonal and communication skills with the ability to interface effectively with sophisticated clients and multidisciplinary teams. Thrive under pressure in a high-performance, client-focused environment. Tax aspects of fund formation and investment management. M&A tax due diligence and post-transaction structuring. Tax-exempt entities and not-for-profit structuring (a plus, but not required). Exposure to tax controversy and litigation support. The position is hybrid and requires at least 3 days a week at the Mid-Town, Manhattan Office.
